Contracts Explained

Whether a person goes to the grocery store to buy a soda (I contract to pay a certain amount for the soda.) or a person signs a written document, contracts exist everywhere in our daily life.  Contracts are promises that are enforceable in a court of law.  When a contract is in writing, only the terms of the contract as written are enforceable.  Ambiguous terms or clauses in the contract will be construed against the drafter.  When some terms are missing or are unclear, a court may use gap fillers by interpreting what is reasonable given the industry and parties’ intentions in the contract were to enforce the contract as a whole.  Therefore, attorney assistance could be invaluable in the drafting, interpretation and construction of any contract.
